PrompTale AI Terms of Use

These Terms of Use (“Terms”) govern your access to and use of PrompTale AI’s apps, websites, APIs, AI models, Web3 services, and any products made available through the PrompTale AI platform (“Services”). By using PrompTale AI, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Age Requirements & Global Eligibility

You may use PrompTale AI only if you are legally permitted to do so under the laws of your country or region. You must be:

  • At least the minimum age of digital consent in your jurisdiction (e.g., 13+), and

  • Authorized by a parent or legal guardian if underage.

2. User Account & Wallet Access

You are responsible for safeguarding your PrompTale AI credentials, including any connected crypto wallets or OAuth logins. By using a Web3 wallet, you agree that:

  • Your public address and transactions may be permanently visible on blockchain networks.

  • PrompTale AI has no control over lost keys or irreversible transactions.

3. User Input, AI Output & Commercial Use

a. Input

“Input” refers to any data you provide to the Services, including but not limited to:

  • Text, sketches, photos, voice clips, and prompts

  • Uploaded styles, references, or sample data

  • Annotation data, including votes or key-ins for federated learning

You are solely responsible for having the rights to provide this content.

b. Output

“Output” includes AI-generated media created by PrompTale AI’s systems in response to your Input, including:

  • Images, videos, audio, and animations

  • Webtoon, manga, anime, cartoon-style content, storyboards, and derivatives

c. Commercial Use

You may use your AI-generated Output for personal or commercial purposes, including:

  • Selling, licensing, or distributing your creations

  • Publishing on monetized platforms

You are solely responsible for ensuring that your Output does not violate any third-party intellectual property rights. PrompTale AI disclaims any legal liability for such use.

Commercial use of Output does not grant rights to PrompTale AI’s models, tools, interfaces, voices, or style presets.

4. Ownership & Liability

You retain ownership of your Input and Output, subject to these terms. However:

  • If your Output incorporates third-party IP, uses restricted modules, or resembles protected content due to model behavior, you are solely responsible.

  • Training private artstyles is done at your own legal risk.

  • You must not attempt to recreate or monetize protected IP (e.g., Disney, Marvel, Ghibli). Repeat violations will result in termination.

5. Rights You Grant PrompTale AI

By using the Services, you grant PrompTale AI and its affiliates a global, royalty-free, sublicensable license to use your Input and Output to:

  • Operate and improve our Services (including federated learning and decentralized inference)

  • Personalize experiences

  • Promote PrompTale AI (when you opt in or publish)

  • Embed product placement ads or sponsorship objects into public or monetized Output

You may opt out of training or public sharing from your settings.

6. Web3 Services & On-Chain Visibility

PrompTale AI offers token-based and decentralized services (“Web3 Services”) including:

  • Payment via tokens or fiat

  • Data2Earn programs

  • Decentralized hashpower markets

  • Launchpad and creator monetization

  • RWA (real-world asset) tokenization or trading

These services:

  • May be permanent and transparent due to blockchain design

  • May be regulated differently in your country

  • Are irreversible and not modifiable post-deployment

7. Acceptable Use & Prohibited Content

You must not upload or generate content that:

  • Is illegal in any jurisdiction (e.g., CSAM, fraud, hacking)

  • Harasses, threatens, or incites violence

  • Involves non-consensual nudity or gore (unless NSFW mode is enabled)

  • Violates IP rights (including third-party characters or brands)

  • Misleads others or impersonates someone else

  • Attempts to bypass filters, scrape content, or abuse systems

PrompTale AI enforces a zero-tolerance policy for repeated IP infringement.

8. Moderation & Enforcement

PrompTale AI may:

  • Filter, suppress, or delete content

  • Revoke access or monetization rights

  • Block, ban, or suspend accounts

  • Use automated or human moderation

9. Paid Plans & Payment

PrompTale AI offers paid subscriptions:

  • Payable in fiat or supported cryptocurrencies

  • Auto-renew unless canceled in advance

  • Non-refundable, except where required by law

Web3 transactions (e.g., NFTs, tips, royalties) are final and irreversible.

10. DMCA & Takedown Policy

To file a copyright complaint, email [email protected] with:

  • Your signature and contact details

  • Description of the work infringed

  • Exact location of the infringing content

  • Statement of good faith belief

  • Statement under penalty of perjury that you are the rights holder

We may remove content or ban accounts for repeated infringement.

11. Dispute Resolution (Binding, Non-Court Enforceable)

All disputes must be resolved through binding, individual arbitration:

  • No jury trials, class actions, or public lawsuits

  • No dispute may be brought to court (except for enforcing IP rights or arbitration results)

  • If this clause is unenforceable, all claims revert to individual arbitration only

12. Warranties & Limitation of Liability

The Services are provided “AS IS.” PrompTale AI disclaims all warranties:

  • No guarantee of output accuracy, legality, or usability

  • No uptime or availability guarantees

To the fullest extent allowed by law:

  • PrompTale AI’s total liability is limited to the greater of $100 or your payments in the last 12 months

  • PrompTale AI is not liable for indirect or consequential damages

13. Changes to These Terms

We may update these Terms. If materially changed, we will notify users via email or product alert. Continued use of the Services after changes constitutes acceptance.

PrompTale AI ("we", "us", or "our") values your privacy. This Privacy Policy describes how we collect, use, disclose, and protect your personal data when you use our websites, applications, APIs, AI services, Web3 offerings, and any other PrompTale AI services (collectively, the "Services"). This Policy applies globally, including jurisdictions covered by the GDPR, UK GDPR, PIPA, CCPA/CPRA, and other applicable data protection laws.

a. Information You Provide

  • Account information: email address, wallet ID, username, profile data

  • Input data: text, sketches, photos, voice, uploaded content

  • Annotation data: including voting, key-in inputs, and other federated learning signals

  • Payment data (via third-party providers)

b. Information We Generate or Observe

  • AI-generated content ("Output") based on your Input

  • Logs, metadata, device/browser type, OS, IP address

  • Activity, usage, and preference patterns

  • Wallet-based data (e.g. on-chain interaction with PrompTale AI smart contracts)

c. Cookies & Tracking

We may use cookies and similar tracking technologies for personalization, performance monitoring, and analytics.

2. How We Use Your Data

We use your data to:

  • Provide, maintain, and improve our Services

  • Personalize user experience and content

  • Train models using anonymized or federated data (with opt-out options)

  • Operate Web3 features like data2earn, NFT transactions, and creator launchpads

  • Process transactions (crypto and fiat)

  • Respond to support inquiries and enforce our Terms

  • Prevent fraud, abuse, and violations

Federated Learning

Annotation and Input data may be used in decentralized training to improve AI outputs. This data is anonymized or aggregated when possible. Federated data includes data users voluntarily contribute through participation in data2earn programs, such as labeled inputs, key-ins, and votes, and is never shared without user consent.

User-contributed data through data2earn programs is processed in a way that maintains privacy and may support future model enhancement efforts through privacy-preserving infrastructure.

Personalized Artstyles

If you upload or fine-tune a custom artstyle or character, we will keep this content private to your account. These personalized elements are not shared with other users and are used only to generate personalized outputs for your use.

3. Sharing & Disclosure

We do not sell your personal information. We may share your data with:

  • Service providers under strict data protection terms

  • Web3 smart contracts (for transparency, not for sale)

  • Law enforcement, regulators, or as required by law

  • Business partners, if authorized by you or required to provide a feature

  • Other users only if you explicitly publish your content

4. Web3 Data and On-Chain Activity

Certain actions on PrompTale AI (e.g., minting NFTs, earning tokens, publishing styles) are visible on public blockchains and may be permanently stored. PrompTale AI is not able to delete, modify, or obscure on-chain data once written.

5. Children’s Data

You may not use the Services if you are under the digital age of consent in your jurisdiction (e.g. 13 or 16 depending on country), unless you have verified parental consent. We do not knowingly collect data from minors without such consent.

6. Your Rights

Depending on your region, you have the right to:

  • Access or correct your personal data

  • Request deletion of your account and data

  • Withdraw consent for processing (where applicable)

  • Export your data in a machine-readable format

  • Object to certain types of processing

7. Data Retention

We retain personal data only as long as necessary for the purposes described above or to comply with legal obligations. Blockchain data may remain indefinitely on-chain due to its design.

8. Security

  • Encryption in transit and at rest

  • Role-based access controls

  • Smart contract audit and transaction monitoring

However, no system is 100% secure. Use Web3 features at your own risk.

9. International Transfers

We may process your data in jurisdictions outside your own, including the United States, the EU, and Asia-Pacific. Where required, we implement appropriate safeguards such as Standard Contractual Clauses.

10. Supplemental Disclosures

a. California Residents (CCPA/CPRA)

You have additional rights including:

  • The right to know what we collect and how we use it

  • The right to deletion

  • The right to opt-out of data selling (we don’t sell data)

b. Europe / UK / PIPA

We rely on legitimate interest, consent, and contract fulfillment as legal bases. You may contact your local data protection authority for complaints.
